Tom D. Swanson
Associate
Tom Swanson advises businesses on the legal and operational issues that accompany growth, ownership, and long-term planning. As an attorney at Hassan + Cables, he focuses on corporate governance, real estate transactions, and outside general counsel services, helping companies navigate matters ranging from entity formation to strategic business decisions.
He brings boutique M&A experience and an in-house background at a major energy company to a practice centered on helping businesses build and maintain strong legal foundations. From operating agreements and shareholder documents to acquisition transactions and commercial real estate closings, he treats every document as though it will matter someday, because in business, it usually does.
Business Formation and Corporate Governance
Tom handles entity formation, operating agreements, shareholder agreements, and the foundational documents that define how a company operates and what happens when owners disagree. An operating agreement drafted as an afterthought is not protection. He drafts governance documents to hold up when relationships are tested, not just while everyone is getting along.
Real Estate Transactions
Tom represents clients in commercial and residential real estate transactions, including purchase and sale agreements, due diligence, title review, and closing matters. He has built particular experience in cannabis real estate transactions and the regulatory requirements involved.
Cannabis and Regulatory Transactions
He drafts operating agreements and purchase and sale agreements for cannabis M&A transactions, including deals with complex MED regulatory requirements. He provides drafting and due diligence support across the range of structures the industry requires, with deep familiarity in the compliance considerations that make cannabis transactions different from standard business deals.
Outside General Counsel
Tom serves as outside general counsel for several firm clients, advising on contracts, governance matters, employment documentation, and real estate issues as part of ongoing business relationships. His practice is centered on providing practical legal guidance on transactions, operational decisions, and the day-to-day legal issues that arise as businesses grow.
