David Wunderlich advises companies on transactions, regulatory compliance, and day-to-day business matters, bringing a practical, business-focused approach to every representation. A partner at Hassan + Cables, David focuses on corporate and business law, civil litigation, and outside general counsel services for small and mid-sized companies. Before entering private practice, he spent eight years in government service, an experience that continues to inform his work with businesses operating in regulated industries and navigating complex regulatory environments. Clients describe him as the attorney who moves matters forward without overcomplicating them.


He also has one of the most recognized cannabis M&A and regulatory practices in the state, developed through nearly a decade of representing dispensary operators, multi-state operators, investors, and private equity-backed cannabis businesses.
 

Corporate and Business Law

David represents businesses across the full transaction lifecycle from entity formation and operating agreements to shareholder agreements, capital raises, vendor contracts, and acquisitions. He has particular depth with companies in manufacturing, liquor and hospitality, and other regulated industries where his government background gives him context most business attorneys do not have.


He serves as outside general counsel to companies seeking consistent legal support without in-house overhead, handling contracts, employment matters, regulatory questions, and strategic transactions as part of an ongoing relationship.
 

​Cannabis Law

David has developed one of the most comprehensive cannabis law practices in the state. He has handled acquisitions of dispensary chains, cultivation operations, and cannabis brands. He has served as outside general counsel for publicly traded multi-state operators and private equity-backed companies, and his work runs from initial licensing and MED compliance through complex M&A and enforcement defense.


David has represented cannabis businesses since 2017, developing his practice alongside Colorado's rapidly evolving regulatory framework. When a licensing matter cannot be resolved administratively, he takes it to court.
 

​Liquor and Hospitality

​David's experience with the Colorado Department of Revenue, which regulates both cannabis and liquor, extends naturally into liquor licensing and hospitality transactions. He has handled liquor license applications and defense, restaurant acquisitions, and food service licensing for cannabis-adjacent businesses.

​Representative Matters

  • Represented a restaurant and food truck operator in liquor licensing and M&A transactions

  • Conducted a years-long 50-state legal survey regarding hemp derived CBD for a Fortune 500 food distribution company in coordination with in-house counsel

  • Represented buyers and sellers in dispensary chain acquisitions valued up to $15 million

  • Handled acquisition of a cannabis brand and manufacturing facility valued at more than $20 million

  • Served as outside general counsel for publicly traded multi-state cannabis operators and private equity-backed cannabis companies

  • Obtained a replevin order in district court for a client whose cannabis license was wrongfully taken
